Terms of Service

By downloading, installing, accessing, or using Ghost Interviewer ("the Software," "the Service," or "Ghost Interviewer"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Ghost Interviewer ("Company," "we," "us," or "our").

If you do not agree to these Terms, you must not download, install, access, or use the Software. Your continued use of Ghost Interviewer constitutes your acceptance of any updated or modified Terms.

You represent that you are at least 18 years of age or have reached the age of majority in your jurisdiction, and have the legal capacity to enter into this agreement.

Ghost Interviewer is an AI-powered desktop application designed to assist users in preparing for job interviews. The Service provides:

• AI-generated practice interview questions and suggested responses
• Real-time transcription and analysis capabilities
• Screen capture and visual analysis features for interview preparation
• Customizable AI model selection for different preparation scenarios
• Profile and role-based response customization

The Service requires an active internet connection and valid API credentials for AI model providers. Features and functionality may vary based on your subscription tier and third-party service availability.

Account Security: You are responsible for maintaining the confidentiality of your account credentials, API keys, and any other authentication information associated with your use of the Service. You agree to immediately notify us of any unauthorized use of your account.

Accurate Information: You agree to provide accurate, current, and complete information when creating an account or subscribing to the Service. You are responsible for keeping this information up to date.

API Keys: Ghost Interviewer may require you to provide your own API keys for certain third-party AI services (such as OpenRouter or Deepgram). You are responsible for:

• Obtaining and maintaining valid API keys from respective providers
• Complying with the terms of service of all third-party API providers
• Any charges incurred through your use of third-party APIs
• Keeping your API keys secure and confidential

System Requirements: You are responsible for ensuring your device meets the minimum system requirements for running the Software and for maintaining a stable internet connection.

Ghost Interviewer offers subscription-based access to the Service. All payments are processed securely through Paddle, our authorized payment processor and Merchant of Record.

Billing: Subscriptions are billed on a recurring monthly basis. By subscribing, you authorize Paddle to charge your selected payment method for the subscription fee plus any applicable taxes.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can manage your subscription through your Paddle customer portal.

Price Changes: We reserve the right to modify subscription prices. Any price changes will be communicated to you in advance and will take effect at the start of your next billing cycle.

Refunds: Refund requests are handled in accordance with Paddle's refund policy. Please contact our support team at islam.alabsi.dev@gmail.com for refund inquiries.

Taxes: Paddle, as Merchant of Record, handles all applicable sales tax, VAT, and other transaction taxes based on your location.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on devices you own or control
• Use the Software for personal, non-commercial interview preparation purposes
• Access features and functionality included in your subscription tier

Restrictions: This license does not permit you to:

• Sublicense, sell, rent, lease, or distribute the Software to third parties
• Modify, reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices, labels, or marks
• Use the Software for commercial purposes without express written permission
• Create derivative works based on the Software
• Use the Software in any manner that violates applicable laws or these Terms

You agree NOT to use Ghost Interviewer for any of the following prohibited purposes:

• Cheating on Actual Assessments: Using the Software during live job interviews, technical assessments, coding tests, or any evaluation where real-time AI assistance would constitute cheating or violate the assessment rules
• Misrepresentation: Presenting AI-generated responses as your own original thoughts during actual interviews or using the Software to misrepresent your skills, qualifications, or abilities to potential employers
• Academic Dishonesty: Using the Software during academic examinations, coursework assessments, or certification tests where such assistance is prohibited
• Fraud or Deception: Using the Software to deceive, defraud, or mislead any individual or organization
• Illegal Activities: Using the Software for any purpose that violates local, state, national, or international laws or regulations
• Harmful Content: Using the Software to generate, distribute, or promote content that is defamatory, obscene, threatening, or otherwise harmful
• Unauthorized Access: Attempting to gain unauthorized access to our systems, other users' accounts, or third-party services
• Interference: Interfering with or disrupting the integrity or performance of the Service or related systems

Our Property: Ghost Interviewer, including all software, code, design, graphics, logos, trademarks, and other intellectual property, is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited license granted above.

Your Content: You retain ownership of any content you input into the Software, including questions, responses, profiles, and other user-generated content. By using the Service, you grant us a limited license to process this content solely to provide the Service to you.

AI-Generated Content: Responses and suggestions generated by the AI through the Software are provided for your personal use. You may use AI-generated content for interview preparation, but you acknowledge that such content may not be unique and similar content may be generated for other users.

Feedback: If you provide feedback, suggestions, or ideas about the Software, you grant us the right to use such feedback without any obligation to compensate you.

THE SOFTWARE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Service will meet your specific requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate, reliable, or complete
• Any errors in the Software will be corrected
• AI-generated responses will be appropriate, accurate, or suitable for any particular interview or situation

Third-Party Services: The Service relies on third-party AI providers and APIs. We are not responsible for the availability, accuracy, or reliability of these third-party services. Your use of third-party services is subject to their respective terms and conditions.

No Guarantee of Employment: Ghost Interviewer is a preparation tool and does not guarantee job offers, interview success, or any particular employment outcome. Your success in interviews depends on many factors beyond the scope of this Software.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GHOST INTERVIEWER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Personal injury or property damage
• Failure to obtain employment or job offers
• Any damages resulting from your use or inability to use the Service
• Any damages resulting from unauthorized access to or alteration of your data
• Any damages resulting from third-party services or APIs

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless Ghost Interviewer, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Software or Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third party's rights, including intellectual property rights
• Any content you submit, post, or transmit through the Service
• Your use of the Software during actual interviews, assessments, or evaluations in violation of their rules

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

Termination by You: You may terminate your use of the Service at any time by uninstalling the Software and canceling your subscription through the Paddle customer portal. Cancellation will take effect at the end of your current billing period.

Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Engaging in prohibited uses as described in Section 6
• Non-payment of subscription fees
• Fraudulent or illegal activity
• At our sole discretion, for any reason

Effect of Termination: Upon termination, your license to use the Software immediately terminates. You must cease all use of the Software and delete all copies from your devices. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

No Refunds: Termination of your account, whether by you or by us, does not entitle you to a refund of any fees already paid, except as may be required by applicable law or Paddle's policies.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at islam.alabsi.dev@gmail.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days.

Binding Arbitration: Any dispute that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language and shall take place in Delaware or remotely via video conference.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms
• Notify you via email or through the Software at least thirty (30) days before the changes take effect
• Provide you an opportunity to review the revised Terms

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

We encourage you to periodically review these Terms to stay informed about our policies and your rights and obligations.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ghost Interviewer regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.

Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
